Trade Terms.

1. Trade Accounts

Swagg Merch is a trade-only platform. Access is available to approved business customers, including promotional product distributors, marketing agencies, print and signage companies, apparel suppliers, corporate organisations and other approved commercial businesses.

Swagg Merch reserves the right to approve, decline or revoke trade accounts at its sole discretion.

2. Pricing

All pricing displayed within your account is exclusive to approved trade customers. Unless otherwise stated:

• Prices exclude applicable taxes.
• Pricing is shown in the selected store currency.
• Prices are subject to change without notice due to supplier pricing, exchange rates or freight costs.
• The price confirmed at the time of order will apply.

3. Minimum Order Quantities

Most products have a minimum order quantity (MOQ) of 50 units. Some products may require higher minimum quantities due to supplier requirements, packaging configurations or production limitations.

Applicable MOQs are displayed on each product.

4. Artwork & Proof Approval

Customers are responsible for supplying production-ready artwork. Preferred file formats include:

• AI
• EPS
• Vector PDF
• SVG

Where required, Swagg Merch will provide a digital artwork proof for approval before production begins. Production will not commence until written artwork approval has been received.

Customers are responsible for checking all artwork proofs, including spelling, colours, positioning and sizing.

5. Production & Lead Times

Estimated production and delivery times commence after:

• Artwork approval (where applicable)
• Payment has been received (unless credit terms apply)
• All order information has been confirmed

Lead times are estimates only and may vary due to supplier production schedules, freight providers, customs clearance or other circumstances beyond Swagg Merch's control.

6. Payment

Payment methods may include:

• Credit Card
• Stripe
• EFT / Bank Transfer
• Other approved payment methods

Orders paid via bank transfer will not enter production until cleared funds have been received.

Trade accounts do not automatically include credit facilities.

7. Freight & Delivery

Freight charges are calculated during quoting or checkout based on destination, carton quantities and shipping method. Additional freight charges may apply for:

• Bulky products
• Oversized items
• Remote delivery locations
• Split shipments
• Express delivery requests

International deliveries may be subject to customs duties, taxes or import charges imposed by the destination country. These charges remain the responsibility of the purchaser unless otherwise agreed.

8. Samples

Where available, unbranded samples may be ordered separately. Sample pricing, freight charges and availability vary by product.

Samples are supplied for evaluation purposes and are generally non-returnable unless faulty.

9. Decorated Products

Because branded products are manufactured specifically for each customer, decorated products cannot be cancelled, exchanged or returned once production has commenced.

Claims relating to manufacturing defects, decoration errors or damaged goods must be reported within seven (7) days of delivery.

10. Product Information

While every effort is made to ensure product descriptions, images, specifications and colours are accurate, variations may occur. Actual product colours may differ slightly due to screen settings, manufacturing tolerances or decoration methods.

Swagg Merch reserves the right to amend product information without notice.

11. Intellectual Property

Customers confirm they hold the necessary rights or permissions to reproduce all logos, trademarks, artwork and other supplied content.

Swagg Merch accepts no responsibility for intellectual property infringements arising from customer-supplied artwork.

12. API & Platform Access

Where API access or platform integrations are provided, customers agree to comply with all technical requirements, rate limits, authentication procedures and acceptable use policies.

Swagg Merch may suspend API access where misuse, excessive usage or security concerns are identified.

13. Limitation of Liability

To the maximum extent permitted by applicable law, Swagg Merch's liability is limited to the replacement, repair or refund of the affected goods.

Swagg Merch shall not be liable for indirect, consequential or incidental losses arising from delays, supplier issues, freight disruptions or circumstances beyond its reasonable control.

Nothing in these Terms limits any consumer rights that cannot legally be excluded under applicable law.

14. Governing Law

These Terms are governed by the laws applicable to the country in which the relevant Swagg Merch contracting entity operates or where the order is accepted.

Where a dispute arises, the parties agree to first attempt to resolve the matter in good faith before commencing legal proceedings.
